Service Agreement of Shanghai Juxiaoji Intelligent Technology Co., Ltd.

Welcome to use the relevant services of Shanghai Juxiaoji Intelligent Technology Co., Ltd.!

Before accepting this agreement, you must carefully read the entire content of this agreement and fully understand the terms, especially the limitation or exemption clauses. The limitation or exemption clauses will be highlighted in bold or other prominent forms to draw your attention. If you have any questions about the terms of this agreement, please contact the relevant business department of Shanghai Juxiaoji Intelligent Technology Co., Ltd. for inquiry. Unless you have read and accepted all the terms of this agreement and related agreements, rules, etc., you have no right to use this service. Once you select "Agree to the Agreement and Submit" (the specific wording shall be subject to the registration page) and complete the registration process, or you use this service in any way, it shall be deemed that you have read and agreed to be bound by the above agreements, rules, etc.

If you have any behavior in violation of this agreement, Shanghai Juxiaoji Intelligent Technology Co., Ltd. has the right to unilaterally take measures such as restricting, suspending or terminating the provision of services to you at any time according to the circumstances of your violation, and has the right to pursue your relevant responsibilities.

This service agreement (hereinafter referred to as "this agreement") is jointly signed by you and Shanghai Juxiaoji Intelligent Technology Co., Ltd., including but not limited to the "Privacy Policy of Shanghai Juxiaoji Intelligent Technology Co., Ltd." and other contents. In case of any changes, Shanghai Juxiaoji Intelligent Technology Co., Ltd. will announce them in the form of sending messages in the licensed software without further notice. The changed agreement and rules shall automatically come into effect once announced and become a part of this agreement without the need to notify you of your consent separately. If you do not agree to the relevant changes, please immediately stop using the services of Shanghai Juxiaoji Intelligent Technology Co., Ltd.; if you continue to use them, it shall be deemed that you have no objection to the modified rules and agree to abide by them.

I. Definition of Terms

1.1 Licensed Software: refers to the software system provided by Shanghai Juxiaoji Intelligent Technology Co., Ltd. for you to download and install and use on the limited mobile terminals of the specified system.

1.2 Service: refers to the services provided for you by Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers. You can use the service on the mobile terminal through the licensed software.

II. Services

2.1 Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers provide you with intelligent life device management services. You can control the intelligent terminals connected to the cloud platform of the suppliers of Shanghai Juxiaoji Intelligent Technology Co., Ltd. through Shanghai Juxiaoji Intelligent Technology Co., Ltd. and realize the linkage between intelligent devices. The service content includes intelligent device management, scene linkage, analysis reports, etc. These functional services may be optimized or modified according to the changes in your needs or the unilateral judgment of the service provider, and may also be temporarily suspended due to regular or irregular maintenance.

III. Scope of Services

3.1 Subject to this agreement, Shanghai Juxiaoji Intelligent Technology Co., Ltd. grants you a right to use the licensed software.

3.2 You shall not carry out any form of licensing, selling, leasing, transferring, distributing or other commercial uses of the licensed software.

3.3 Due to the limitations of the adaptation platform and terminals of the licensed software, you can only use the licensed software on the authorized system platforms and terminals. If you install the licensed software on other terminal devices, it may cause damage to the functions of your hardware or software.

3.4 You should understand that the licensed software can only be used for non-commercial purposes, and you shall not install, use or run the licensed software for commercial operation purposes.

3.5 Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers will change, upgrade or transfer the licensed software and its related functions from time to time, and may add new functions or services to the licensed software system. If there is no independent agreement for the above new functions and services, you can still obtain the authorization for the corresponding functions and services, and this agreement shall apply.

3.6 You shall be responsible for the accuracy, reliability, integrity and legality of the input data and the legality of the way you obtain the data, and shall regularly back up the data, materials, etc. You shall bear all the risks of damage and loss of such materials.

3.7 You shall properly keep your account number and password. If you find that your account has potential security risks (including but not limited to the leakage of the user password), you shall notify Shanghai Juxiaoji Intelligent Technology Co., Ltd. in a timely manner, and Shanghai Juxiaoji Intelligent Technology Co., Ltd. will assist you in taking relevant measures. Otherwise, you shall be responsible for all the behaviors under your account and bear all the responsibilities.

IV. Third Parties

4.1 You have been informed that some of the services provided by Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers may be obtained based on the software or services provided by third parties. This service is set up to provide you with convenience and has obtained the legal authorization of the third party.

4.2 This product contains some information and services of third parties. Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers do not control the information and services of third parties.

4.3 You understand that Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers cannot guarantee that the licensed software will be used permanently or contain such third-party services, nor can they guarantee whether the same third party will continue to provide other software or services in the future, and may also use similar services of other third parties. Once the above corresponding software or services are enabled, this clause shall also apply.

V. Service Usage Specifications

5.1 You should use the licensed software in a standardized manner. The following ways are violations of the usage specifications:

Publish or share computer viruses, worms, malicious codes, or software that intentionally damages or changes computer systems or data;
Collect the information or data of other users, such as email addresses, etc., without authorization;
Use this product maliciously in an automated way, causing excessive burden on the server or interfering with or damaging the website server and network connection in other ways;
Try to access the server data or communication data of this product without authorization;
Interfere with or damage the use of this product by other users.
5.2 You understand and agree that:
Shanghai Juxiaoji Intelligent Technology Co., Ltd. will determine whether you are suspected of violating the above usage specifications, and may suspend or terminate your usage license or take other restrictive measures as agreed according to the determination results.
For the information you publish when using the licensed software that is suspected of being illegal, of infringing upon the legitimate rights of others or of violating this agreement, Shanghai Juxiaoji Intelligent Technology Co., Ltd. will directly delete it.
For any damage caused to any third party by your behavior in violation of the above usage specifications, you need to independently bear the legal liability in your own name and ensure that Shanghai Juxiaoji Intelligent Technology Co., Ltd. is exempt from any losses or additional expenses caused thereby. Otherwise, Shanghai Juxiaoji Intelligent Technology Co., Ltd. has the right to recover the losses from you.
If you violate the relevant laws or the provisions of this agreement, causing any losses to Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers, you shall compensate Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers for the losses and/or expenses incurred thereby.

VI. Information Content Specifications

6.1 You promise not to use the service for any illegal or improper activities, including but not limited to the following behaviors:

6.1.1 Upload, transmit or share information containing any of the following contents:

Opposing the basic principles determined by the Constitution;
Endangering national security, disclosing state secrets, subverting state power, and undermining national unity;
Damaging national honor and interests;
Inciting ethnic hatred, ethnic discrimination, and undermining national unity;
Disrupting national religious policies, advocating cults and feudal superstitions;
Spreading rumors, disturbing social order, and undermining social stability;
Spreading pornographic, gambling, violent, homicidal, terrorist or abetting criminal content;
Insulting or slandering others and infringing upon the legitimate rights of others;
Containing false, fraudulent, harmful, coercive, invasive of others' privacy, harassing, infringing, slandering, vulgar, obscene or other morally offensive content;
Containing other contents restricted or prohibited by applicable laws, regulations, rules, regulations and any legally effective norms.

VII. Privacy Policy and Data

7.1 Protecting your personal information is very important to Shanghai Juxiaoji Intelligent Technology Co., Ltd. Shanghai Juxiaoji Intelligent Technology Co., Ltd. has formulated the "Privacy Policy of Shanghai Juxiaoji Intelligent Technology Co., Ltd." which makes important disclosures about the ownership and protection of intellectual property rights, the collection, use, sharing, storage and protection of your information and other related contents. It is recommended that you read the "Privacy Policy of Shanghai Juxiaoji Intelligent Technology Co., Ltd." in its entirety.

VIII. Exemption Clauses

8.1 Except as otherwise expressly provided by laws and regulations, Shanghai Juxiaoji Intelligent Technology Co., Ltd. will make its best efforts to ensure the security, effectiveness, accuracy and reliability of the licensed software and the related technologies and information. However, subject to the existing technologies, Shanghai Juxiaoji Intelligent Technology Co., Ltd. cannot provide any guarantee in this regard.

8.2 You understand that Shanghai Juxiaoji Intelligent Technology Co., Ltd. cannot be held liable for any direct or indirect losses caused to you due to force majeure or the reasons of third parties.

8.3 You shall bear the liability for any personal injury or incidental or consequential damages caused by or related to any of the following situations on your own:

Unauthorized use of the licensed software by a third party or alteration of your data;
The expenses and losses incurred from the behaviors carried out by using the licensed software;
Your misunderstanding of the licensed software;
Other losses related to the licensed software caused by reasons other than those of Shanghai Juxiaoji Intelligent Technology Co., Ltd.
8.4 Any other software derived from the licensed software that is not developed by Shanghai Juxiaoji Intelligent Technology Co., Ltd. or developed with the authorization of Shanghai Juxiaoji Intelligent Technology Co., Ltd. and officially released is illegal. Downloading, installing and using such software may lead to unpredictable risks. The legal liability and disputes arising therefrom have nothing to do with Shanghai Juxiaoji Intelligent Technology Co., Ltd., and Shanghai Juxiaoji Intelligent Technology Co., Ltd. has the right to suspend or terminate the usage license and/or any other services.
8.5 You have been informed that the use of the cloud platform of the suppliers of Shanghai Juxiaoji Intelligent Technology Co., Ltd. involves Internet services and may be affected by unstable factors in various links. This service may be suspended, interrupted, delayed, restricted or unavailable due to the inherent defects of the Internet and electronic communications and events that cannot be reasonably controlled by either party to this agreement (including but not limited to fire, flood, terrorist attack, epidemic, natural disaster, riot, terminal virus, hacker attack, network failure, terminal failure). You hereby specifically assume the above risks and agree that Shanghai Juxiaoji Intelligent Technology Co., Ltd. shall not bear any liability to you when the actual occurrence of the above risk events affects the normal operation of the service.

IX. Termination of the Agreement and Liability for Breach of Contract

9.1 You should understand that you need to use the licensed software within the authorized scope, respect the intellectual property rights of the licensed software and the contents contained therein, use the licensed software in a standardized manner, and perform your obligations as agreed in this agreement. If you seriously violate this agreement, Shanghai Juxiaoji Intelligent Technology Co., Ltd. will terminate your usage license and require you to bear the corresponding responsibilities.

9.2 Your use of the licensed software depends on the supporting services provided for you by Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers. If you violate the relevant provisions of the terms, agreements, rules, notices, etc. of Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers, it may lead to your inability to use the licensed software normally. Shanghai Juxiaoji Intelligent Technology Co., Ltd. has the right to terminate the usage license or take restrictive measures against your usage license and other rights and interests that can be controlled by Shanghai Juxiaoji Intelligent Technology Co., Ltd. in the manner agreed in the agreement, including suspending or terminating the usage license granted to you.

9.3 Once you violate the provisions of this agreement or other agreements signed with Shanghai Juxiaoji Intelligent Technology Co., Ltd., Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers have the right to take restrictive measures against your rights and interests, including suspending or terminating the provision of some or all services to you, and publicly disclosing your default situation on the websites operated or actually controlled by Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers in accordance with the law.

9.4 The licensed software is obtained by you from the download platform. You need to comply with the agreements on the usage methods and limitations of the licensed software set by the download platform, the system platform and the terminal manufacturer. If the above third parties confirm that you have violated such agreements and require Shanghai Juxiaoji Intelligent Technology Co., Ltd. and its suppliers to deal with it, Shanghai Juxiaoji Intelligent Technology Co., Ltd. may terminate the usage license granted to you at the request of the third party.

9.5 When this usage license is terminated, you should stop using the licensed software and destroy all copies.

9.6 If you violate the provisions of this agreement and cause losses to Shanghai Juxiaoji Intelligent Technology Co., Ltd., its suppliers or other users, you must bear all the liability for compensation.

X. Governing Law and Severability

10.1 The validity, interpretation, modification, implementation and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. In the absence of relevant legal provisions, the general international commercial practices and/or industry practices shall be referred to.

10.2 Any disputes arising from or in connection with this agreement may be resolved by you and Shanghai Juxiaoji Intelligent Technology Co., Ltd. through friendly negotiation or submitted to the people's court with jurisdiction at the place where this agreement is signed for adjudication.

10.3 When any provision of this agreement is determined to be invalid by a people's court with jurisdiction, it shall not affect the validity of other provisions or any part thereof, and you and Shanghai Juxiaoji Intelligent Technology Co., Ltd. shall still perform in good faith.
